1.About these terms
These terms are an agreement between you and Total Business Advisory Private Limited (CIN U74999MH2013PTC248991), registered office at Office No. 464, Central Facility Building No. 2, Sector 19, APMC Market 2, Turbhe-Vashi, Navi Mumbai, Thane, Maharashtra 400705, India (“TBA”, “we”, “us”) for the use of the TBA website and platform. By creating an account, booking a plan or using the portal, you accept them. If you use TBA for a business, you confirm you are authorised to accept them for it.
They should be read with our Privacy Policy and Refund & Cancellation Policy.
2.What TBA is — and isn’t
TBA is software. It gives accountancy and tax practices (“firms”) a client portal with an AI assistant, document collection, quotes, e-signature, payment requests and team tools, and it lets their clients (“clients”) work with them online.
TBA is not an accountancy firm and does not provide accounting, tax, legal or compliance advice. Every professional service — GST, income tax, registrations, audits and advice — is provided by the firm the client chooses. The engagement, the quote, the fees and the work are between the firm and its client; TBA is not a party to that agreement and is not responsible for the firm’s professional work.
3.Accounts
- You must be at least 18 and give accurate information.
- Keep your sign-in secure. You are responsible for what happens under your account; tell us straight away if you think it has been misused.
- A firm’s owner account is the email named when the firm was set up. Access for other people is the firm’s responsibility.
- A client belongs to one firm at a time. A client may switch by using another firm’s join link only until work has started with the first firm.
4.Firms’ responsibilities
A firm that uses TBA agrees that it:
- holds the qualifications, registrations and licences its work requires, and is solely responsible for the advice and services it gives;
- has a lawful basis — and where needed, its clients’ consent — to collect and process their personal data through TBA, and gives its clients any privacy notice the law requires;
- sets its own services and prices and is responsible for its quotes, invoices, taxes and refunds to its clients;
- reviews AI-generated drafts, document analysis and summaries before relying on them;
- uses its own Razorpay account for client payments and complies with Razorpay’s terms; and
- keeps any records it is legally required to keep, including by exporting them before closing its account.
5.Clients’ responsibilities
- Give your firm accurate information and genuine documents.
- Upload only documents you are entitled to share.
- Never share OTPs, passwords or PINs in the chat. Your firm will contact you directly when an OTP is needed.
- Read your quote before signing. When you sign on screen, you agree to it as if you had signed on paper.
- Take questions about your case, fees or refunds to your firm.
6.AI features
The assistant answers routine questions, gathers details, asks for documents and prepares quotes from the firm’s own price list. AI can make mistakes: its replies are general information, not professional advice, and anything needing judgement is handed to a person at the firm.
Some safeguards are built in — prices only from the firm’s list, figures checked before sending, no requests for OTPs or passwords — but they do not replace the firm’s review. Firms remain responsible for what they send to and agree with their clients.
7.Plans, billing and renewal (firms)
- Prices — plans and their limits are shown on our pricing page. Prices are in Indian rupees and exclude GST, which is added at 18% at checkout.
- Bookings — buying a plan online creates a booking. Your firm is opened when we approve it — usually within one working day — and your plan period starts on that day, not on the day you paid.
- Period and renewal — plans run monthly (yearly plans are coming soon) and do not renew automatically. We remind you before the end; renew from Settings → Plan & usage, and any renewal is added to the time you have left.
- Limits — each plan covers a number of clients, AI replies, AI document reads and monthly bill reads. At a limit, new clients can’t join, clients’ messages go to your team instead of the assistant, and documents or bills are still saved but wait for your team to check them by hand, until you move to a bigger plan or the month resets. Nothing is deleted.
- Upgrades — upgrading yourself from Settings is coming soon; until then, ask us and we will move you to a bigger plan. When self-serve upgrades launch, the unused part of your current plan will be credited against the new one. Downgrades are arranged with us and take effect at the next renewal.
- Lapse — if a plan ends, there is a 7-day grace period. After that the AI features switch off and new clients can’t join, but your data is kept and everything resumes when you renew.
Refunds are covered by our Refund & Cancellation Policy.
8.Payments between firms and clients
When a client pays a firm through the portal, the payment is processed by Razorpay and settles into the firm’s own Razorpay account. TBA does not receive, hold or settle those funds and is not responsible for them. Refunds, disputes and chargebacks for client payments are handled by the firm under its own terms and Razorpay’s.
9.Acceptable use
You must not:
- use TBA for anything unlawful, fraudulent or misleading, or to process data you have no right to process;
- try to access another firm’s or client’s data, or probe, scan or test the security of the platform without our written permission;
- try to make the AI assistant ignore its instructions, reveal its instructions, or act outside its purpose;
- upload malware, or content that is defamatory, obscene or infringes someone else’s rights;
- overload the service, scrape it, or get around plan limits or rate limits; or
- resell or sublicense TBA, or copy or reverse-engineer it.
10.Your data
Firms own the data they and their clients put into TBA. We use it only to provide the service, as our Privacy Policy describes. For clients’ personal data, the firm is the Data Fiduciary and we are its Data Processor.
A firm can ask us for an export of its data, and for its deletion when it leaves. We will delete it within a reasonable time, except where the law requires us to keep something.
11.Our intellectual property
The TBA software, website, name and logo belong to us. We give you a limited, non-exclusive, non-transferable right to use the platform while your account is active and these terms are followed. If you send us feedback, we may use it without owing you anything.
12.Availability and changes
We work to keep TBA available and secure, but we don’t promise it will be uninterrupted or error-free, and it depends on third-party services such as hosting, Google and Razorpay. We may improve or change features; if we remove something a paying firm relies on, we will give reasonable notice.
13.Suspension and termination
You can stop using TBA at any time. We may suspend or close an account that breaks these terms, fails to pay, or puts other users or the platform at risk — with notice where we reasonably can. While a firm is suspended, its dashboard shows only a way to contact us, and its data is kept.
When an account closes, the right to use TBA ends. Sections that by their nature should continue — including fees owed, data, liability and governing law — continue to apply.
14.Disclaimers and liability
TBA is provided “as is”. To the extent the law allows, we are not liable for indirect or consequential losses, loss of profit, or for a firm’s professional advice or services, a client’s information, or decisions made on AI output without review.
Our total liability to a firm for any claim is limited to the fees it paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.
Firms agree to indemnify us against claims by their clients or others arising from the firm’s professional work, its prices and quotes, or its breach of these terms or the law.
15.Governing law and disputes
These terms are governed by the laws of India. We will first try to resolve any dispute informally — please write to us. If that fails, the courts at Mumbai, Maharashtra have exclusive jurisdiction.
16.Changes to these terms
We may update these terms and will change the date at the top when we do. For material changes, we will notify firms by email or in their dashboard at least 15 days before they take effect. Continuing to use TBA after that means you accept the new terms.
